Terms of Service
The terms governing use of this website and the general terms for our consulting engagements.
Last updated: September 19, 2026
These Terms of Service ("Terms") govern your access to restaurantsconceptint.site and describe the general terms under which Restaurant Concepts International, Inc. provides consulting services. By using this website you agree to these Terms.
1. About Us
Restaurant Concepts International, Inc. is a restaurant consulting firm located at 128 S Highland Ave, Apopka, FL 32703, serving clients in the United States and internationally.
2. Website Use
- Use this site for lawful purposes only.
- Do not attempt to disrupt, damage or gain unauthorized access to the site.
- Do not scrape, copy or republish site content commercially without written permission.
- Do not submit false information or use our forms for unsolicited commercial messages.
- Do not submit confidential recipes, financials or trade secrets through the contact form.
3. Information Is Not Advice
Content on this website, including service descriptions, industry commentary and the pricing ranges shown on our homepage and pricing page, is general information. It is not consulting advice for your specific business, and it is not a quote or an offer. No consultant client relationship is created by reading this website or by submitting the contact form.
4. Not Legal, Financial Or Tax Advice
We are restaurant industry consultants. We are not attorneys, accountants, licensed financial advisors, architects or engineers. Nothing we provide constitutes legal, tax, accounting, investment, architectural or engineering advice. Franchise documentation, entity structuring, securities matters, lease negotiation, permitting drawings and tax planning must be handled by appropriately licensed professionals, and we will tell you when you need one.
5. Engagements
- Services begin when a written proposal or consulting agreement is signed by both parties.
- Each proposal defines scope, deliverables, timeline, fees and payment milestones.
- Work outside the agreed scope requires a written change order.
- A mutual NDA is executed before substantive confidential discussion.
- We may decline or end an engagement where a conflict of interest exists or where a client requests work we consider unethical or unlawful.
6. No Guarantee Of Results
We do not guarantee that any concept will succeed, that any restaurant will be profitable, that any financial projection will be achieved, that any franchise will sell units, or that any opening date will be met. Restaurant outcomes depend overwhelmingly on execution, location, market conditions, capitalization, management and factors outside our control. Financial models we produce are projections based on assumptions stated within them, not predictions or warranties. Historical results of other clients do not indicate what your business will achieve.
7. Client Responsibilities
- Provide accurate and complete financial and operational information
- Provide timely access to sites, documents and key personnel
- Make decisions and give approvals within agreed timeframes
- Obtain your own legal, accounting and licensed professional advice
- Hold all necessary licenses, permits and approvals for your operation
- Implement recommendations, which remain your decision to adopt or reject
Delays in access, information or approvals shift timelines and do not reduce fees for the period.
8. Fees And Payment
- Project work is fixed fee against a written scope, payable on agreed milestones.
- Advisory work is billed hourly and invoiced monthly.
- A deposit is typically required before work begins.
- Travel and third party costs are billed at cost with receipts, approved in advance.
- Past due balances may accrue interest and collection costs as permitted by Florida law.
- We may pause work on accounts more than 15 days past due.
- Fees for completed phases are not refundable, because the work and deliverables have been provided.
9. Deliverables And Ownership
On payment in full, ownership of the deliverables created specifically for you, including concept documents, brand assets, menus, costed recipes, manuals and financial models, transfers to you. We retain ownership of our own methodologies, templates, frameworks and general knowledge. Full detail is on our Confidentiality and Intellectual Property page.
10. Confidentiality
Both parties will keep the other's confidential information private. Our obligations are set out in the mutual NDA and in our Confidentiality policy, which survive the end of the engagement.
11. Non Solicitation Of Staff
During an engagement and for twelve months afterward, neither party will directly solicit the other's employees or subcontractors without written consent, except through general public advertising.
12. Limitation Of Liability
To the maximum extent permitted by Florida law, our total liability for any claim is limited to the fees you paid us for the engagement giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost investment, business failure, delayed openings or lost opportunity.
13. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your operation of your business, your implementation of or failure to implement recommendations, information you supplied, or your breach of these Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Disputes shall be brought in the state or federal courts located in Orange County, Florida, unless your consulting agreement provides otherwise.
15. Changes And Contact
We may revise these Terms at any time. Changes take effect when posted with an updated date. Where a signed consulting agreement conflicts with these Terms, that agreement controls.
